Terms of
Service
01 Services
Editor Fleet provides B2B editorial content services to digital publishers, media companies, and online outlets. Our services include, but are not limited to:
- Entertainment news writing (film, TV, celebrity, pop culture)
- Story sourcing, research, and editorial development
- White-label article delivery formatted for immediate publication
- Ongoing content pipeline support via retainer arrangements
- Per-article or per-project content production
Editor Fleet does not provide promotional content, advertorial writing, sponsored content creation, or PR services. All content produced is purely editorial in nature.
02 Engagement & Scope
An engagement with Editor Fleet begins upon written confirmation — via email or a signed agreement — outlining the agreed scope, delivery format, and fee structure. This applies to both retainer and per-article arrangements.
Retainer engagements operate on a monthly cycle. The agreed volume of articles, turnaround times, and payment schedule will be confirmed at the start of each engagement period.
Per-article engagements are confirmed on a story-by-story or batch basis. Each commission is considered a separate agreement unless otherwise stated in writing.
Any changes to the agreed scope — including additional articles, new content verticals, or revised formats — must be agreed upon in writing before production begins.
03 Payment Terms
All fees are agreed prior to the commencement of work. Editor Fleet does not begin production on any piece without a confirmed commission or active retainer agreement.
- Retainer clients: Invoices are issued at the start of each billing cycle. Payment is due within 7 days of the invoice date unless otherwise agreed in writing.
- Per-article clients: Payment terms will be specified at the time of commission. Standard terms are payment within 7 days of delivery.
Editor Fleet reserves the right to pause delivery of content in the event of overdue payment. Continued non-payment after 14 days may result in termination of the engagement.
All fees are quoted and payable in the currency agreed at the outset of the engagement. Applicable taxes are the responsibility of the client where required by law.
04 Intellectual Property
Upon receipt of full payment, all intellectual property rights in the delivered content — including copyright — transfer in full to the client. Editor Fleet makes no claim to ownership of any article once payment has been received.
Prior to full payment, all content remains the intellectual property of Editor Fleet and may not be published, redistributed, or adapted by the client.
05 White-Label & Confidentiality
All content produced by Editor Fleet is delivered on a fully white-label basis. No bylines, credits, watermarks, or references to Editor Fleet will appear in or accompany any delivered article.
Editor Fleet agrees to keep all details of the client relationship — including the client’s identity, publication, editorial processes, story selections, and content briefs — strictly confidential. This obligation continues after the engagement ends.
Clients agree not to publicly disclose the nature of their arrangement with Editor Fleet without prior written consent, unless required to do so by law.
06 Editorial Standards
Editor Fleet is committed to producing accurate, well-sourced editorial content. All articles are researched using publicly available sources and written to match the client’s tone, structure, and audience expectations as communicated at the start of the engagement.
Clients are responsible for final editorial review before publication. Editor Fleet is not liable for any errors, inaccuracies, or legal issues arising from content that has been published without adequate review by the client’s editorial team.
Editor Fleet will not knowingly produce content that is defamatory, misleading, or in breach of applicable press standards. We reserve the right to decline commissions that conflict with these principles.
07 Revisions & Rejections
Each delivered article includes one round of revisions at no additional charge, provided the revision request aligns with the original brief. Revision requests must be submitted within 5 business days of delivery.
Requests that represent a significant change in scope, angle, or format from the original brief may be treated as a new commission and quoted separately.
Clients may reject a delivered article if it materially fails to meet the agreed brief. In such cases, Editor Fleet will either revise the piece or offer a replacement article of equivalent scope, at our discretion.
Rejected articles do not automatically entitle the client to a refund unless the rejection is agreed in writing by both parties as warranted.
08 Limitation of Liability
Editor Fleet’s total liability to any client in connection with any engagement shall not exceed the total fees paid by that client in the 30 days preceding the event giving rise to the claim.
Editor Fleet is not liable for any indirect, consequential, or reputational losses arising from the use or publication of delivered content, including but not limited to:
- Loss of revenue or audience
- Third-party legal claims arising from published content
- Delays caused by circumstances beyond our reasonable control
Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable Indian law.
09 Termination
Retainer agreements may be terminated by either party with 14 days’ written notice. Any articles already in production at the time of notice will be completed and delivered; payment for those articles remains due.
Per-article engagements may be cancelled prior to production beginning. Once production has commenced, the full article fee remains payable.
Editor Fleet reserves the right to terminate any engagement immediately and without notice in the event of:
- Non-payment or persistent late payment
- A request to produce content that violates editorial ethics or applicable law
- Conduct by the client that is abusive, unlawful, or damaging to Editor Fleet
10 Governing Law
These terms are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of India.
Editor Fleet will always seek to resolve disputes informally in the first instance. Clients are encouraged to raise any concerns directly before pursuing formal proceedings.
